LONGFIELDS CIRCLE LTD MEMBERSHIP TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) set forth the legally binding terms between Longfields Circle Ltd (“The Company”) and its members (“The Member(s)”). By subscribing to any membership tier offered by Longfields Circle Ltd, The Member agrees to be bound by these Terms.

1. DEFINITIONS

1.1. The Company refers to Longfields Circle Ltd, its officers, employees, and affiliates.
1.2. The Member refers to any individual or business entity subscribing to the membership services provided by The Company.
1.3. Membership Tiers refers to the different levels of membership offered by The Company, namely Networker (Silver), Circle Advisor (Gold), and Elite (Platinum).
1.4. Main Events refers to the two large bi-annual events organised by The Company.
1.5. Event Discounts refers to discounts and complimentary tickets offered by The Company to The Member based on their membership tier.
1.6. Insurance Customers refers specifically to customers of Longfield Risk Solutions Ltd, an insurance broker and Appointed Representative of LRS Group Management Ltd, FRN (912107).

2. MEMBERSHIP COMMENCEMENT AND DURATION

2.1. The membership term commences upon payment and confirmation of the membership subscription by The Company.
2.2. Membership is valid for a period of 12 months and shall automatically renew unless terminated in accordance with Clause 9.
2.3. Membership fees for Insurance Customers (Longfield Risk Solutions Ltd clients) are discounted as set out in The Company’s promotional literature.

3. FEES AND PAYMENT

3.1. Membership fees shall be paid monthly or annually, as agreed upon by The Member during the application process.
3.2. The Company reserves the right to adjust membership fees upon renewal, providing notice to The Member at least 30 days prior to any change.
3.3. All fees quoted are inclusive of VAT where applicable, unless otherwise stated.

4. BENEFITS AND DISCOUNTS

4.1. Each membership tier includes benefits as detailed in The Company’s promotional literature. These benefits include, but are not limited to, free tickets, event discounts, sponsorship opportunities, and access to advisory services.
4.2. Free tickets and discounts shall expire at the end of each 12-month membership term and shall not be carried over into subsequent terms.
4.3. Event discounts and free tickets apply only to events outside of the Main Events, unless explicitly stated otherwise in promotional materials or communications from The Company.

5. USAGE OF BENEFITS

5.1. The Member shall utilise the benefits in good faith and in accordance with the purposes intended by The Company. Any misuse of benefits may result in immediate suspension or termination of membership at The Company’s sole discretion.
5.2. The Member shall not resell or transfer benefits to any third party without the prior written consent of The Company.
5.3. Benefits received by Insurance Customers (clients of Longfield Risk Solutions Ltd) are subject to the same terms and conditions as benefits for standard members, unless otherwise stated.

6. SPONSORSHIP OPPORTUNITIES

6.1. The Company offers sponsorship opportunities to members depending on their membership tier. These opportunities are subject to availability and The Company’s approval.
6.2. Elite (Platinum) members are entitled to sponsorship opportunities, including those at Main Events, subject to prior agreement. Circle Advisor (Gold) members are entitled to sponsorship opportunities, excluding Main Events.
6.3. Sponsorship opportunities must be arranged directly through The Company, and The Member must comply with all sponsorship terms specified by The Company.

7. LIMITATION OF LIABILITY

7.1. The Company, its directors, officers, employees, and any affiliated parties bear no liability for any business outcomes experienced by The Member, whether positive or negative, including but not limited to business growth, revenue increases, or losses incurred.
7.2. The Company offers networking opportunities, events, and access to advisory services, but it is not responsible for the direct growth or development of The Member’s business. Any decision made by The Member regarding their business, based on or influenced by information, connections, or services provided through the membership, is at The Member’s sole discretion and risk.
7.3. The Member acknowledges that The Company does not guarantee any specific business outcome, result, or financial performance as a result of participating in its services.
7.4. The Company shall not be held liable for any indirect, consequential, or incidental damages or losses arising from participation in Longfields Circle Ltd’s services, events, or activities.

8. TERMINATION AND CANCELLATION

8.1. Either party may terminate the membership by providing 30 days’ written notice.
8.2. If The Member terminates their membership within the 12-month contract period, they shall repay any discounts, free tickets, or other benefits received during the membership period on a pro-rata basis.
8.3. The Company reserves the right to terminate The Member’s subscription immediately if there is evidence of misuse, fraud, or breach of these Terms. Any benefits utilised up to the termination date will be charged to The Member on a pro-rata basis.

9. EXPIRATION OF BENEFITS

9.1. All benefits, including free tickets and discounts, expire at the end of each 12-month membership period. Benefits cannot be carried over or transferred to subsequent membership terms.
9.2. Upon renewal, The Member’s entitlement to benefits resets in accordance with the membership tier they hold at the time of renewal.

10. FORCE MAJEURE

10.1. The Company shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, or strikes.
10.2. In the event of such an occurrence, The Company will make reasonable efforts to reschedule events or adjust member benefits to accommodate the disruption.

11. CONFIDENTIALITY AND DATA PROTECTION

11.1. The Member acknowledges that participation in Longfields Circle Ltd events may involve the exchange of confidential information. The Member agrees to maintain the confidentiality of all information shared and not to disclose it to any third party without prior written consent from The Company.
11.2. The Company shall process any personal data collected from The Member in compliance with the UK General Data Protection Regulation (GDPR). The Company’s privacy policy, available on its website, outlines how data will be processed, stored, and protected.
11.3. The Company reserves the right to contact The Member for marketing purposes in relation to membership benefits and events unless The Member opts out.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
12.2. In the event of any dispute arising under or in connection with these Terms, the parties shall seek to resolve the matter amicably through negotiation or mediation. If mediation is unsuccessful, the parties agree to submit the dispute to arbitration under the Arbitration Act 1996.
12.3. Any proceedings or disputes that cannot be resolved by mediation or arbitration shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. AMENDMENTS

13.1. The Company reserves the right to amend these Terms from time to time. Any amendments will be communicated to The Member in writing or by email, and the continued use of membership services after such notification will constitute acceptance of the revised Terms.

14. ENTIRE AGREEMENT

14.1. These Terms, along with any supplementary documents provided by The Company, constitute the entire agreement between The Company and The Member.
14.2. Any previous agreements, understandings, or representations, whether oral or written, are hereby superseded by these Terms.

By subscribing to Longfields Circle Ltd’s membership services, The Member confirms acceptance of these Terms and agrees to abide by all rules, regulations, and policies outlined herein.
